Brightflag is known for its exceptional customer service, and with good reason. But that doesn't mean we always get it right. I'd never spoken with this customer before, but they were so impressed by Laura Capel that they were compelled to reach out. And I love it! At the same time, it's never been my intention to give the impression that Brightflag is flawless. On the contrary, I try to keep it as real as possible. We make our share of mistakes. What makes us different, at least in my opinion, is owning the mistakes and fixing them quickly. I'm deeply appreciative of all our customers: of the ones who've been thrilled from day one, but even more so of the ones who had a bump or two along the way. Thank you for sticking with us, for letting us learn from you, and for encouraging us when we're on the right track. #legalops #legaltech

The second line must challenge the first line, not trust a black box. GenAI is advancing fast, but oversight relies on interrogable checks. This is an accountability issue, not just a technology one. When oversight depends on GenAI systems that are hard to interrogate, the second line cannot explain or defend outcomes to boards and regulators. That does not restore oversight. It creates a dependency the team cannot justify. The second line can use GenAI to create a manageable environment so they can spend their time on making sure risk can be monitored, and not on coordinating between domains, departments, and assessments. Second-line teams must update tests, evidence and methods to preserve their monitoring role. GenAI should strengthen second-line judgement, not replace the ability to justify it. “𝗪𝗵𝗲𝗿𝗲 𝗱𝗼 𝘄𝗲 𝘀𝘁𝗮𝗿𝘁 𝗶𝗻 𝗠𝗼𝗿𝗼𝗰𝗰𝗼?” For Gulf investors and family offices considering the Moroccan market, four considerations deserve attention from the outset. 1. Choose a structure that fits the investment. The choice of corporate vehicle, including an SARL or SA, should reflect the proposed activities, ownership arrangements, governance needs and longer-term plans. An SARL is quick and flexible for an operating business; an SA suits a larger venture with several shareholders or plans for a future listing. 2. Engage with the relevant Regional Investment Centre. Each region has one, and it’s the key point of contact for guidance on company establishment, permits, investment approvals and available incentives and support. 3. Assess investment incentives before finalizing the budget. Morocco’s 2022 Investment Charter provides a framework for supporting qualifying projects. Eligibility and available support depend on factors including job creation, project location and sector. These should be assessed early in the planning process. 4. Consider whether Casablanca Finance City status fits. For eligible businesses, including certain regional headquarters and financial or service activities, CFC status can offer tax and foreign-exchange benefits. The qualifying conditions and ongoing requirements need to be considered alongside the proposed business model. These decisions are connected. Assessing them together helps investors establish a clearer picture of the structure, approvals and costs involved before committing capital. Morocco’s position between Europe, West Africa and the Atlantic makes it a compelling market to consider. For Gulf investors and family offices, addressing these questions early can help turn an investment decision into action more efficiently. The AMERELLER Morocco Desk supports clients through these considerations and the wider market-entry process, combining our presence in the Gulf with local legal expertise and a team on the ground in Rabat and Casablanca. What is the first question your team asks when considering a new market? What if internal auditors no longer had to choose what to test? GenAI is opening a path to full-population testing and a much more direct view on where the organization stands. For the third line, that changes more than the volume of data reviewed. Testing entire populations can close the gap between real and perceived risk, reduce duplication and reconciliation work, and free auditors to focus on what matters most: interpretation, challenge and continuous assurance. Thinking about buying a business? Before you fall in love with the opportunity, make sure the numbers can support the purchase. With more Canadian business owners preparing to exit over the coming decade, prospective buyers may have more opportunities to explore. But finding an attractive business and securing a financially sustainable acquisition are two very different things. A business may have strong historical earnings, an appealing asking price, and promising growth potential. But can its cash flow support the purchase when things don't go according to plan? What happens if a major customer leaves, receivables are delayed, or unexpected expenses arise? These are important questions to consider before making an offer. In our recent EVCOR webinar, Matt Zakresky shares the lender's perspective on financing and cash flow, while Max Beairsto explains why buyers need to look beyond historical profits to understand a business's future earning potential. One important takeaway is that the financing conversation should begin before you find the business you want to buy. Understanding your borrowing capacity, the lender's expectations, and the true financial performance of a business can help you identify opportunities that are both attractive and sustainable. Because a successful acquisition isn't just about what you can afford to buy. It's about what the business can afford to support. At EVCOR, we help prospective buyers make informed acquisition decisions through business valuations, financial analysis, and transaction advisory services. Considering buying a business? Connect with our team to discuss how to prepare for your next opportunity.
