Private equity firms, family offices, and sell-side advisors should be cautious of due diligence providers that rely too heavily on Large Language Models (LLMs) inside the virtual data room. Recent research highlights a critical reality: hallucination is not a bug that can simply be fixed. It is an inherent characteristic of generative AI. In due diligence, that matters. An AI can: • Invent a contract clause that doesn't exist • Misstate a customer reference • Confidently summarize management information that is incomplete or misleading • Produce different conclusions when asked the same question twice The risk isn't that AI makes mistakes. Analysts make mistakes too. The risk is when AI-generated findings are presented with the appearance of certainty, without evidence, verification, or human review. The strongest finding from the latest research isn't which model is best. It's that architecture matters more than model choice. The most reliable diligence systems: ✓ Ground every finding in source documents ✓ Require citations and traceability ✓ Verify claims before they reach a report ✓ Triangulate management information with independent evidence ✓ Escalate low-confidence findings to human experts AI can dramatically accelerate due diligence. But for investment decisions measured in millions of Euros, the goal should never be autonomous diligence. It should be evidence-based diligence, where every conclusion can be traced, verified, and defended. Tata AutoComp Systems has officially finalized its 100% acquisition of IAC Group (Slovakia)—now rebranded as Artifex Systems Slovakia. 🇸🇰 By uniting operations in the UK, Sweden, and Slovakia under the Artifex brand, the group hits a massive $1.3B annual revenue milestone with a 4,100-strong workforce. The Tech Behind the Deal 🛠️ Diligize & CarveX acted and continue to act as the lead technology due diligence and carve-out / separation advisor: ✅ Pre-Deal: Architected the TSA (Transition Services Agreement) and set the tech budget. ✅ The Strategy: Mapped out the complex "carve-out" requirements to ensure zero downtime. ✅ Post-Deal: Currently leading the technical separation to move the Slovakian unit to full operational independence. With a new Engineering Centre in Sweden and a reinforced EU footprint, the future of automotive interiors is looking bright. #CarveOut #Divestment #CorporateFinance #PrivateEquity #FamilyOffice AssetMax.ai CarveX.ai Diligize Ltd Steve D.td Steve D. Carve-out deals are most likely to fail when buyers commit before fully understanding what they’re acquiring. PLACING THE BET argues that pre-deal conviction is not enthusiasm, model precision, or seller credibility. It is the disciplined ability to identify, test, price, structure, or govern the assumptions that must be true for the investment thesis to work. The framework focuses on seven conviction areas: standalone economics, perimeter integrity, TSA dependency, key-person risk, revenue stability, legal transferability, and Day 1 operational readiness. Its central insight is simple: the earlier a risk is identified, the cheaper and more rationally it can be addressed. By the time a problem appears post-signing or post-close, optionality has collapsed. For investment committees, the real question is not: Can this deal close? It is: Do we understand the operational, architectural, and governance reality well enough to commit capital with informed conviction? Good investing means distinguishing between uncertainty that is manageable, uncertainty that can be structured and governed, and uncertainty that is merely being ignored. Davide Boiardi Seshu J. In modern carve-outs, operational execution is no longer a downstream workstream. It is a core component of investment strategy. The most successful carve-outs are not necessarily the simplest transactions. They are the transactions where operational dependencies are: - Identified early, - Modelled systematically, and - Executed with precision. In complex carve-outs, execution quality directly affects: - Day-1 readiness - TSA duration - ERP disentanglement - Operational continuity - Stranded costs, and - Ultimately investment performance. As carve-outs become more technologically interconnected, operational separation capability is becoming a true competitive advantage. The firms that outperform over the next decade will not simply be the firms that execute transactions well. They will be the firms that execute operational separation systematically. #PrivateEquity #SpecialSituations #CarveOut #ValueCreation AssetMax.ai

Technical due diligence is broken. AI is fixing it. Most PE deals close with a dangerously incomplete picture of what's inside the technology. Not because teams aren't trying — because traditional TDD is too slow, too expensive, and too dependent on scarce senior engineering talent. The numbers are stark: - 71% of PE dealmakers say technical risk was underweighted in a deal that underperformed - £3.2m median cost overrun from undetected technical issues post-close 60% of deal failures linked in part to inadequate diligence AI-augmented TDD changes the equation entirely — processing million-line codebases overnight, scanning entire dependency trees for CVE exposure, identifying IP contamination and hardcoded credentials, and delivering IC-ready output in days, not weeks. At roughly 70% lower cost than traditional advisory. The result: material risks that traditional TDD consistently misses, surfaced before close — not discovered six months into the hold period when the damage is done. For family offices and lean deal teams, the impact is even more significant. Institutional-grade technical assessment is no longer gated behind institutional headcount. The competitive gap between firms doing this and firms that aren't is widening fast. At AssetMax.AI, we combine AI-powered analysis with a global network of 100+ technical specialists to deliver technical due diligence at machine speed — without sacrificing the expert judgment that investment committees require.
